At Apex Tool Group, we strive to treat all of our business partners fairly and with respect, including customers, suppliers and associates. We invest significant resources in business ethics training for associates and continuously work to implement new programs that stress the importance of our standards. For example, we introduced a gift giving and receiving policy to ensure there is no improper influence on how we make business decisions. Our goal is to give our associates clear guidance that allows them to use their best judgment in everything they do.

Cybersecurity Incident Notification 

This notice provides information about a cyber security event experienced by Apex Tool Group, LLC (“ATG”), our response, and resources available to potentially impacted individuals to help protect their sensitive personal information from possible misuse, should they feel it necessary to do so.

On January 13, 2023, ATG concluded its investigation into the cybersecurity event that is the subject of this notice. On March 11, 2022, we observed unusual activity resulting in the inaccessibility of certain systems within our network. We immediately took steps to contain the threat and investigate the extent of this activity. With the help of leading cybersecurity experts and experienced cybersecurity legal counsel, we determined that an unknown third party initially accessed our network on or around February 21, 2022. We also confirmed that we eradicated the underlying unauthorized access to our systems on March 11, 2022. We then took steps to enhance the security of our systems and began investigating what, if any, sensitive personal information may have been accessed or acquired in connection with the incident.

Unfortunately, as of the close of our investigation, we could not confirm the identity of all individuals whose sensitive personal information may have been potentially impacted in connection with the incident. However, we note that ATG collects certain sensitive personal information in our normal course of business, primarily with respect to our human resources functions, which may include an individual’s name, date of birth, Social Security number, government identification numbers, and financial account numbers. While we are not aware of any malicious misuse of any sensitive personal information as a result of the event, out of an abundance of caution, we are providing this notification and offering credit monitoring and identity protection services to potentially impacted individuals through Equifax. We encourage potentially impacted individuals to remain vigilant against identity theft and fraud by reviewing account statements and monitoring free credit reports for suspicious activity, including instances of fraud and identity theft, and errors. Compliance

Apex Tool Group works diligently to ensure compliance with the applicable laws and guidelines in all of the countries in which we do business. One of the most important ways we do this is to educate our diverse employee base about the importance of meeting our legal obligations around the globe. This information is provided annually to all employees through our education and awareness programs. As part of our corporate culture, we are always looking for new ways to improve. Many of our business systems and controls are externally audited on a yearly basis to ensure that we are not only continuously improving our internal systems, but also allowing for external input.
 

Safety

Safety is a top priority for Apex Tool Group. We value our employees and want to provide a safe work environment for everyone at every level of the company. ATG has established a series of technical standards and a comprehensive metric program that accurately measures the company’s safety improvements, while identifying areas of concern for corrective action.  Our global correction action program identifies problems and presents solutions within 30 days. We are particularly proud of this program as it sets us apart from many companies our size, where it can take up to six months to integrate changes into their systems. In fact, ATG’s incident rate is well below the U.S. benchmarks for our industry. Several notable organizations have recognized ATG for its safety performance, programs and procedures.
